In the post 9-11 environment, heightened national security concerns have increasingly made it more difficult for domestic and foreign interests to conduct business with and within the United States.

Foreign direct investment in U.S. with CFIUS oversight significantly increases governmental scrutiny of mergers, acquisitions and takeovers. The 10% safe harbor rule has been eliminated, and Congress will now play an enhanced political role leading to greater uncertainty.

Export controls and licensing have been tightened. Businesses and individuals without proper licenses face stiff federal criminal indictments and civil penalties. Assets may be seized and sold. Jail time can be a real possibility.

Facility and personnel security clearances and access are becoming more difficult to acquire and keep. When the government denies an initial application for a clearance or revokes an existing one, key employees may have to be terminated, business transactions can be lost, and businesses can fail.
